Corporate Associate – Phoenix, AZ

Clark Hill PLC is seeking an associate attorney with 3-7 years of experience for its Corporate Business Unit in its Phoenix, AZ office .  This associate will support and be a member of the firm’s national technology-transactions team to handle matters related to software as a service (SaaS), information technology (IT), cloud computing and the development, procurement and licensing of software, mobile applications, data, new products and other intellectual property.  This associate will also be responsible for the preparation and negotiation of a wide variety of business and transactional documents, including documents relating to entity formations, private offerings and other securities matters, governance, letters of intent, confidentiality, asset and equity acquisition and disposition, service agreements and other commercial transactions.  Successful candidates must be detail-oriented, possess a solid work ethic and have an interest in technology.  Strong interpersonal and communication skills are required.  All candidates must be currently licensed to practice law in the State of Arizona or California.

Clark Hill PLC is seeking an associate attorney with 4-6 years of experience for its Corporate Business Unit in Los Angeles, CA.  This associate will be responsible for preparation and negotiation of a wide variety of business and transactional documents, including documents relating to entity formations, governance, letters of intent, asset and equity acquisition and disposition transactions, securities law matters, leases, independent contractor agreements, licensing agreements, service agreements, and other commercial transactions.  Experience with health care transactions, specifically RCFE and SNF transactions, and health care compliance is preferred.  Successful candidates must be detail-oriented and possess a solid work ethic.  Strong interpersonal and communication skills are required.  All candidates must be currently licensed to practice law in the State of California.

Clark Hill is seeking a senior immigration attorney with at least five years of experience for its Immigration group in Los Angeles, CA. This attorney will represent clients in removal proceedings, Immigration Court and before USCIS.  Responsibilities will include legal research, writing and filing briefs before the BIA and federal courts,  preparing and reviewing immigration benefits applications, and preparing and reviewing humanitarian relief and waiver applications. Qualified candidates will have 5+ years’ experience in removal defense matters.  Ability to speak and write in Spanish preferred.  Candidates should possess strong advocacy, research, and writing skills; a high-level attention to detail; and strong academic credentials.  Successful candidates should be able to stay organized and multi-task in a fast-paced environment.  Candidates should be currently licensed in California.  Interested candidates should provide a cover letter, resume, law school transcript, and writing sample.

Clark Hill is seeking a Labor & Employment associate with 4-7 years of experience for its Los Angeles, CA office.  Candidates should have experience with a broad range of employment issues including workplace discrimination, harassment, retaliation, wrongful termination, and wage and hour disputes.  Litigation experience should include drafting pleadings, discovery, and motions.  Experience taking and defending depositions, and conducting administrative agency hearings, is also sought.  Other responsibilities will include drafting workplace policies, conducting employee trainings, and counseling public and private employers on day-to-day management.  Candidates must be detail-oriented and should possess a solid work ethic.  Excellent writing, communication, and legal research skills are required.  All candidates must be currently licensed to practice law in the State of California.
