James “Jim” Groth has taken a lead role in work on cutting-edge issues such as the development of equity-based incentive compensation programs for executives of corporate employers, as well as the planning and negotiation of mergers, acquisitions, joint venture, and “partnering” relationships, commercial real estate and leasing transactions, software development and licensing agreements, and other infrastructure and financing initiatives.

He has also represented companies, shareholders, and partners in the resolution of intra enterprise management disputes and restructurings, resolving most of them without litigation. In addition, Jim has been particularly active in the firm’s representation as company counsel for various entrepreneurial, owner-managed clients, as well as large, established enterprises.
