Andrew A. Ayar concentrates his practice in the areas of real estate law, banking and finance, business transactions and corporate law. He has handled a significant number of complex real estate transactions on behalf of investors, lenders and developers, with an emphasis on acquisition (and related financing), sale and leasing of hotels, office buildings, shopping centers, industrial facilities and apartment complexes.  He also represents several local, regional and national lenders, banks and financial institutions in connection with the negotiating, structuring and documenting a variety of commercial real estate and commercial lending transactions, including acquisition financing, construction projects, syndicated secured and unsecured credit facilities, working capital lines of credit, SBA lending programs, letters of credit, owner-occupied real estate facilities and asset-based lending.

He also has a wide range of experience in the areas of business transactions and corporate matters, and serves as lead mergers and acquisitions counsel in connection with stock sales and purchases, asset sales and purchases, sales to employee stock ownership plans (ESOPs), all in a wide variety of industries.  Andrew counsels several high net worth individuals, closely held businesses, as well as national and multi-national companies, with respect to general corporate issues, operating issues, acquisitions, financing, and succession and estate planning. He has been honored every year since 2012 by Super Lawyers® as a “Rising Star” and has been selected by DBusiness Magazine’s list of Top Lawyers in Metro Detroit in 2014, 2017 and 2018.

  • Representation of company sponsors of Employee Stock Ownership Plans (ESOP) and ESOP trustees and fiduciaries in acquisition transactions between the company, selling shareholders and the ESOP
  • Representation of health care providers and organizations in connection with the acquisition and divestiture of medical and dental practices
  • Representation of hotel investors in connection with the acquisition and disposition of limited and full service hotel properties
  • Represented national hotel REIT in connection with the acquisition of a local five-star hotel and associated loan transaction
  • Sophisticated real estate transactions, including negotiating acquisition/disposition contracts and financing agreements, 1031 like-kind exchanges
  • Representation of investors in the purchase of notes and subsequent foreclosure or negotiations of deed-in-lieu transfers
  • Represented local bank in its mortgage loan to apartment owner to facilitate a Reverse 1031 purchase/sale transaction
