Steven R. Pacynski

Drawing on extensive experience in corporate governance, strategic transactions, and contract negotiation, Steve helps clients achieve their business objectives while effectively managing legal and operational risk. He frequently serves as outside general counsel to companies across a variety of industries, advising on day-to-day legal matters, governance and organizational issues, commercial relationships, compliance matters, and business strategy. 

Steve’s practice places a particular emphasis on mergers and acquisitions, recapitalizations, and other strategic transactions. He regularly represents buyers, sellers, founders, and investors in the structuring, negotiation, and execution of acquisitions, dispositions, investments, and liquidity events. Known for his practical approach and business-minded perspective, Steve efficiently guides clients through complex transactions while remaining focused on the issues most important to their long-term success. 

In addition to his transactional practice, Steve advises clients on a wide range of commercial agreements and business arrangements. He has significant experience negotiating and drafting joint venture agreements, service and consulting agreements, independent contractor agreements, confidentiality and nondisclosure agreements, restrictive covenant agreements, terms and conditions, and other critical commercial contracts.
