Nick represents clients in the full spectrum of M&A transactions, including asset sales and purchases, equity transactions, mergers, and divestitures. His transactional experience spans a variety of industries, with particular depth in industrial distribution, manufacturing, and service businesses operating in domestic and international markets.
In addition to his M&A practice, Nick regularly serves as outside general counsel for privately held companies, counseling senior management and boards on corporate governance, risk management, compliance, and commercial matters. He advises clients on the negotiation and drafting of complex commercial agreements, including distribution, supply, manufacturing, and service agreements, and has extensive experience developing contract frameworks and standard terms tailored to client operations.
After starting his career with the firm, Nick returned to Clark Hill following more than a decade of distinguished in-house service, during which he served as General Counsel for two multi-national industrial distribution businesses and as Assistant General Counsel to a NYSE-listed global industrial services company. In those roles, he led M&A processes from end to end, built a legal department from the ground up, created corporate compliance programs, and served as a trusted advisor to executive teams and boards of directors on the most consequential decisions facing their organizations.
