Michael Corrente represents clients in a wide range of corporate transactions including entity formations, mergers and acquisitions, private placements, and corporate governance.

Mike represents companies at every stage from initial formation through representation as outside counsel, and ultimately assisting with the sale of the company. At formation, Mike meets with clients to advise on how to organize their companies and assists with preparing corporate governance documents and structuring founders’ equity. As the company grows, Mike assists as outside counsel by providing support with employment issues, intellectual property protection, updating governing documents and maintaining corporate records, and debt and equity financing. Finally, if the company decides to sell or merge, Mike participates in all phases of the sale transaction, including due diligence reviews, pre-closing reorganizations, and post-closing obligations.

Coming from an accounting background, Mike’s approach to business transactions combines the positions of legal counsel and strategic advisor. Mike analyzes and prepares financial models and capitalization tables involved in transactions to allow clients to make informed decisions.
