Jennifer A. Bielfield
Jennifer A. Bielfield represents regional and national lenders and borrowers in both bilateral and syndicated transactions, including aircraft financing, vessel financing, export financing guaranteed by The Export-Import Bank of the United States, construction loans, and real estate secured loans. Her clients include the largest nonprofit lender in the Midwest, to which she provides services related to affordable housing and charter school financing.
Because Jennifer drafts and reviews loan documents daily, she can issue spot key business and legal terms quickly and advocate for her clients based on trends customarily accepted in the marketplace (including guidance published by the Alternative Reference Rates Committee).
Lenders count on Jennifer to deliver high-quality work under tight time constraints, relying on her full knowledge of each client’s internal practices and policies. Lenders who participate in the working capital revolving credit program that is guaranteed by The Export-Import Bank of the United States depend on Jennifer’s knowledge of the intricacies of the program to integrate the program with other loans made by the lender, without jeopardizing the guaranty of The Export-Import Bank. Borrowers trust Jennifer to review and negotiate loan terms that lead to a closing. She is able to focus on bringing the deal to a close, while also protecting the borrower’s interests during any potential default and negotiating upfront common pitfalls to avoid a default.
Jennifer drafts commitment letters, resolutions, loan documents, guaranties, collateral documents and assignments, and legal opinions. She reviews title commitments, surveys, Uniform Commercial Code lien search reports, entity formation documents, working capital applications, purchase agreements, option agreements, lease agreements, insurance certificates, flood hazard certificates, and other related due diligence.
