Clark Hill Represents Bee Creek Communications in Sale to VTX1 Companies

A Clark Hill team led by corporate member Joe Struble represented Bee Creek Communications in its recent sale to VTX1 Companies. Bee Creek provides internet and VOIP telephone service for 3,400 subscribers in the Hill Country area of Texas.

“It took a team effort between our attorneys and the company to pull this transaction together. We’re very happy with the outcome for our client,” Struble said.

From the negotiation of the term sheet through the closing, Struble was joined by corporate law associate Lauren Perez and tax law senior counsel Christine “Chrissy” Green as they worked together to advise Bee Creek on the negotiation and documentation of the stock sale transaction.

Founded in 2001, Bee Creek provides a faster and more reliable internet option to those moving into the Hill Country with access only to dial-up internet. Bee Creek offers service to residents and businesses in rural and smaller communities in the counties of Kendall, Kerr, and Gillespie, with overflow into Blanco County.

“We had a great run with Bee Creek, and it was time to pass the reigns. We are excited about the acquisition by VTX1, as they share the same values of excellent customer service, and community support, while continuing to grow and expand our network to offer faster and reliable speeds,” President of Bee Creek Mike Kunz said in a press release.

Section 232 tariffs expand to medium and heavy-duty vehicles, parts, and buses

On Oct. 17, President Donald J. Trump issued a proclamation under Section 232 of the Trade Expansion Act of 1962 imposing sweeping new tariffs on medium- and heavy-duty trucks, truck parts, and buses, marking the first time that the United States has applied Section 232 measures to an entire vehicle class outside the passenger car segment. The new tariffs, 25 percent on trucks and key truck parts and 10 percent on buses, will take effect on Nov. 1, and will apply according to the rules on tariff stacking.
