Nicholas A. Didomenico focuses his practice in the areas of banking, real estate, and litigation.

Nick drafts and negotiates commercial loan documents, real estate contracts and documents, leases, purchase and sale agreements, real estate related business formation and governance documents, municipal financing documents, equipment leasing documents, and intercreditor agreements.

He represents lenders and borrowers in connection with construction loans, residential development loans, asset-based loans, equipment loans, real estate and business acquisition loans, lines of credit, and refinance loans.

He frequently advises clients on real estate title related matters, including title insurance coverages and exceptions, title due diligence, and the resolution of title defects.

His litigation experience includes cases involving commercial disputes, breach of contract, title to real estate, specific performance, check forgery and alteration, fraud, and negligent misrepresentation. He also enforces and protects creditors’ rights in mortgage foreclosure, collection actions, and bankruptcy cases.

Nick’s experience in these areas enables him to provide clients with knowledgeable and cost-effective solutions to their banking and real estate related issues.  Nick is committed to helping clients achieve their desired outcomes in a timely and efficient manner.

Representative Matters

  • Represented Administrative Agent and Lead Arranger in an $80MM syndicated senior secured credit facility (revolver, term, and CapEx tranches) to a multi-state logistics company, closing concurrently with a CMBS loan and negotiating intercreditor issues involving competing liens on accounts and operational real estate.
  • Represented lender in a $19.5MM multi-state senior secured real estate financing for a multinational mining and chemical company, including a complex Texas leasehold mortgage requiring negotiated ground lessor consents under a non-traditional industrial lease structure.
  • Represented lender in a first mortgage construction loan for a Pittsburgh multi-family development featuring mezzanine financing, preferred equity, and a negotiated intercreditor agreement.
  • Represented lender in first mortgage hotel financing involving the conversion of a historic mixed-use building into hotel and residential condominium units.
  • Represented lender in Texas multi-family development financing structured through a ground lease with a non-profit housing corporation.
