Kenneth S. Wear advises clients on U.S. federal, as well as international and state, tax issues relating to business transactions, structuring, restructuring, planning, and compliance. He provides practical solutions to promote tax efficiency and manage tax risk.

Kenneth provides counsel in the transactional and operational aspects of corporations, pass-throughs (including partnerships and S corporations), and disregarded entities as well as the interests of their owners and investors.

Kenneth assists in planning, structuring, and analyzing transactions to meet client objectives. He drafts and negotiates the tax aspects of business formations, organizations and liquidations, asset and equity acquisitions, dispositions, and joint ventures and helps design and implement tax-free reorganizations, rollovers, and exchanges.

Kenneth’s broader practice addresses the tax concerns of ongoing business operations, including the tax-efficient provision of management and investor incentives, tax compliance in connection with employment, visa or immigration status, and tax aspects of domestic and cross-border investments, services, and contracts.
