Kamin Kamali is Of Counsel in Clark Hill’s Construction and Real Estate practices and has more than two decades of experience advising developers, owners, investors, and capital providers on complex commercial real estate transactions and finance, as well as representing clients in real estate, construction, and business litigation. His practice focuses on borrower-side institutional financings, joint ventures, acquisitions, and large-scale mixed-use and multifamily developments, together with related construction, entitlement, and commercial disputes.

Kamin advises clients throughout the full lifecycle of real estate development, including acquisitions, entitlements, construction, leasing, refinancing, and long-term asset management. His experience spans multifamily, office, retail, senior housing, parking, agricultural, and mixed-use projects totaling more than two million square feet and involving capital stacks exceeding $100 million. He regularly negotiates AIA construction contracts and related consultant agreements and advises on commercial leasing matters, including the structuring and negotiation of office, retail, and ground leases in connection with development and stabilized assets.

Prior to joining Clark Hill, Kamin served for more than a decade as General Counsel and head of legal for a large, vertically integrated real estate and investment platform with domestic and international operations and a multibillion-dollar real estate portfolio. In that role, he acted as chief legal advisor across acquisitions, financings, development, construction, leasing, asset management, and litigation, working closely with senior management, institutional lenders, equity partners, governmental authorities, and outside counsel.

Real Estate Transactions & Finance

Kamin has extensive experience representing borrowers and developers in institutional real estate transactions involving complex capital structures and sophisticated counterparties, including national and regional banks, private debt funds, REITs, and governmental conduit issuers. His work regularly spans the full financing lifecycle of large-scale developments, including construction and bridge financing, preferred equity and joint ventures, tax-exempt bond financings, recapitalizations, and institutional take-out and refinance transactions.

His transactional practice is informed by substantial litigation and trial experience, allowing him to identify potential points of dispute early and to structure and draft financing, joint venture, and construction documents with enforcement, remedies, and dispute avoidance in mind.

Construction, Entitlement & Leasing Advisory

Kamin regularly advises developers and affiliated construction companies on construction and development matters integral to institutional real estate transactions.

His experience includes drafting and negotiating demolition, construction, consultant, and development agreements; coordinating zoning, parking, and land-use approvals; and managing lender, insurance, and bond requirements.

He also advises clients on commercial leasing matters in both development and stabilized contexts, including office, retail, and ground leases, with particular attention to lender requirements, title and survey issues, and long-term operational considerations.

Real Estate & Business Litigation

In addition to his transactional practice, Kamin actively represents clients in real estate, construction, and business litigation. His experience includes serving as lead trial counsel in jury and bench trials and representing clients in arbitrations and mediations arising from ownership, development, construction, financing, and commercial real estate disputes.

He also advises clients in loan workouts and enforcement matters, including construction loan defaults and negotiated deeds in lieu of foreclosure. His litigation background provides clients with continuity of counsel and practical, outcome-oriented advice grounded in real-world enforcement experience.

Thought Leadership & Professional Engagement

Kamin is the author of a published article in The Abstract, the journal of the American College of Mortgage Attorneys, addressing judicial interpretation of intercreditor agreements. He is also a contributor to California Continuing Education of the Bar (CEB) on real estate due diligence, title, land use, and entitlement strategy.

He has been quoted by GlobeSt.com on intercreditor agreements and capital-stack risk in commercial real estate transactions and regularly speaks to brokers and industry professionals on letters of intent, purchase and sale agreement structure, and transaction fundamentals.

    Lead counsel to developer and affiliated construction company on a 10-story mixed-use development comprising 376 fully furnished residential units, approximately 5,851 SF of office space, and approximately 11,588 SF of ground-floor retail. Represented the borrower in connection with a $100 million senior construction loan and $40 million institutional preferred equity investment, followed by a $170 million institutional refinance and take-out sponsored by Athene and Apollo Global Management.
  • Glendale, California – Campus Glendale (Construction Financing & Joint Venture)
    Counsel to developer and affiliated construction company on a mixed-use multifamily project comprising 219 residential units and approximately 5,312 SF of retail, including a $70 million senior construction loan and a $25 million institutional preferred equity investment with a publicly traded REIT.

    Counsel to borrower on a $125 million non-recourse institutional refinance and full take-out of construction debt and preferred equity following completion and stabilization of the project, including negotiation of loan documents, payoff mechanics, releases, and lender protections.

    Co-counsel to buyer on the acquisition of approximately 37.81 acres of improved agricultural property for approximately $2.75 million, including negotiation of a letter of intent, drafting of the purchase and sale agreement, structuring of a concurrent sale-leaseback transaction, feasibility and deposit mechanics, escrow coordination, title and survey matters, and 1031 exchange cooperation.

    Lead counsel to developer and affiliated construction company on the demolition of an existing 16-unit apartment building and redevelopment into a six-story, 66-unit fully furnished live/work project over three levels of parking, including drafting of demolition, construction, consultant, and development agreements, coordination of zoning and entitlement approvals, and management of lender, insurance, and bond requirements.
