Clark Hill Advises HCW Biologics in $1.6 Million PIPE Offering

Clark Hill’s Capital Markets team, led by Jim Groth and Jeny Zarmon, served as issuer’s counsel to HCW Biologics Inc. (Nasdaq: HCWB), a clinical-stage biopharmaceutical company developing transformative fusion immunotherapeutics to treat autoimmune diseases, cancer, and senescence-associated dysplasia, in connection with its $4.0 million private investment in public equity (PIPE) offering.

The financing consisted of shares of common stock and pre-funded warrants, together with accompanying common warrants. Clark Hill advised the company throughout the transaction, including securities law compliance, transaction structuring, offering documentation, and closing matters.
