In her public company practice, Tory counsels companies on SEC reporting and disclosure obligations, corporate governance matters, and stock exchange compliance, including the New York Stock Exchange and Nasdaq. She works closely with management teams and advisors to navigate the legal and practical demands of operating as a public company, including ongoing reporting requirements and compliance with U.S. securities laws. Tory also advises companies preparing to enter the U.S. markets, helping them establish disclosure practices and positioning them for successful capital markets transactions.

Tory regularly represents clients in connection with capital raising transactions and cross-border offerings, with a particular focus on helping Canadian and other non-U.S. companies raise money in the United States. She has significant experience advising on transaction structuring, disclosure considerations, and regulatory compliance across both U.S. and international matters. In addition to her capital markets work, Tory serves as outside general counsel to businesses, advising on corporate governance and strategic matters for both public and private companies.

Tory also provides guidance on electronic share eligibility with The Depository Trust Company (DTC), working closely with transfer agents, market makers, and issuers to navigate the DTC eligibility process. Tory assists companies in satisfying the applicable regulatory, operational, and documentation requirements necessary to make their securities eligible for electronic clearing and settlement, which can enhance liquidity and facilitate trading in the U.S. markets.
