Justin K. Abodalo

Justin K. Abodalo is a tax attorney who advises public and private companies, private equity sponsors, and closely held businesses on complex transactional and structural tax matters. Justin focuses his practice on mergers and acquisitions, corporate reorganizations, and sophisticated partnership and cross-border tax planning.

Justin serves as a strategic advisor on high-value transactions, guiding clients through all phases of a deal—from structuring and tax modeling to due diligence, negotiation, and post-closing integration. He regularly identifies and mitigates tax risk, negotiates tax provisions in purchase and merger agreements, and delivers commercially focused solutions aligned with clients’ business objectives.

His experience includes advising on complex matters involving Internal Revenue Code Subchapter K partnerships, Subchapter C corporations, and Subchapter S corporations, as well as international tax regimes such as Subpart F, GILTI, FDII, and BEAT. Justin also prepares private letter ruling requests and formal tax opinions, providing clients with certainty in high-stakes or novel transactions.

Prior to joining Clark Hill, Justin practiced at leading global firms, including two of the “Big 4” accounting firms, leading multi‑jurisdictional transaction tax engagements and working closely with seasoned tax professionals to build a strong foundation in the field.

Clients rely on Justin for his ability to translate highly technical tax rules into clear, actionable advice that drives deal execution. He brings a practical, solutions-oriented approach grounded in both law firm and Big Four experience, allowing him to anticipate issues across disciplines and jurisdictions. Known for being responsive, detail-oriented, and commercially focused, Justin partners closely with clients and deal teams to navigate complexity, manage risk, and deliver outcomes that align with business goals—particularly in time-sensitive and high-stakes transactions.
