Edward regularly serves clients in business transactions by advising on the legal and commercial consequences of company acquisitions and dispositions and offering structuring alternatives. In connection with business transactions, he also counsels clients on investment agreements, shareholder agreements, and general commercial contract matters. A significant part of his corporate law practice includes advising clients on various company law compliance matters related to the securitization of loans to companies for the finance of mergers and acquisitions. He also assists clients with other complex lending and company finance matters.
With respect to international and cross-border transactions and investments, he advises non-Irish individuals and companies on establishing and conducting businesses in Ireland. In connection with doing so, he counsels clients on the application of Irish and EU laws to companies setting up business operations in Ireland. In particular, he helps non-Irish companies from the US when starting a business in Ireland or expanding their business operations into Ireland and the EU.
Edward also represents a large portfolio of clients in the Irish pharmacy and healthcare industry acting for a large number of retail pharmacy and nursing home groups, owners, and managers alike. He also has years of experience in advising companies and appointed examiners in High Court company examinership and advising company directors on Irish corporate insolvency matters generally.
