Clark Hill Adds Three Corporate Attorneys in Atlanta

January 7, 2025

Clark Hill announced today that it has added a trio of Corporate attorneys to its Atlanta office.

Michael Rosenthal, Sonny Cohen, and Binford Minter join as Members and will add to the firm’s Franchise group.

“We really wanted to be part of an established national franchise practice group and this was the perfect opportunity to do so,” Rosenthal said. “We’re looking forward to collaborating with a tremendous team to enhance our client service.”

The majority of Rosenthal’s practice involves franchise clients in addition to general corporate and business matters.

Cohen worked in-house for 20 years prior to moving into private practice for the last three years. He was the general counsel and chief administrative officer for AFC Enterprises and Popeyes Louisiana Kitchen.

Cohen’s current practice is primarily in corporate merger and acquisitions while also specializing in franchising within the hospitality industry.

“After returning to private practice after a long stint as a public company general counsel, my practice is continuing to grow and Clark Hill offers a well-rounded platform to offer all legal services needed by my clients,” Cohen said.  “I am especially excited about our franchise team joining an experienced group of attorneys already within Clark Hill to be able to meet the needs of our franchise clients, whether it be regulatory, transactional, or litigation matters.”

Minter also provides general corporate and business support to clients in the franchise industry, including M&A work, and adds extensive commercial litigation experience to the group. Minter’s practice also involves representation in local government matters, and he has served as a county attorney in Georgia for eight years.

“We are delighted to complement Clark Hill’s impressive team of franchise practitioners, and I think our clients will be delighted too,” Minter said.

“We’re thrilled to be adding Mike, Sonny, and Bin to our Atlanta team, said Atlanta Member-in-Charge Christina Moore. “Their corporate and franchise practices are well established in Atlanta and the southeast, and they’re eager to grow with Clark Hill.”

Critical Risk Mitigation Provisions for Design Contracts — Part 1: Waiver of Consequential Damages

An essential element of architect and engineer contracts with their clients is the treatment of risk sharing between the parties. Design professionals who are typically simply providing services for a fee, and who are not investors who will share in the profits of a successful project, can ill-afford to expose themselves to unlimited liability for negligent errors and omissions in the performance of their services. Architects and engineers would argue that it is fundamentally unfair to expose them to unlimited downside risk when they do not directly participate in the upside profit potential of the projects they design. Owners and developers would counter that this is why design professionals carry professional liability insurance. But even simple design errors can lead to liability that is many times greater than the amount of such insurance.
