Clark Hill Attorney William B. Dunn Serves As Reporter and Principal Drafter of Uniform Commercial Code Opinions in Real Estate Finance Transactions

GRAND RAPIDS, MI – Clark Hill attorney William B. Dunn served as reporter and principal drafter of Uniform Commercial Code Opinions in Real Estate Finance Transactions, issued by opinions committees of the American Bar Association Section of Real Property, Trust and Estate Law and of the American College of Real Estate Lawyers, and by the American College of Mortgage Attorneys; and approved by the American College of Commercial Finance Lawyers. The report, which is accompanied by an extensive illustrative opinion letter, has been published in 53 Real Prop. Tr. & Est. L. J. 163 (Fall 2018). The Journal is available to ABA Section members and the article available publicly here. The report provides documentation of customary practice in giving legal opinions in transaction for the purpose of real estate finance that involve collateral and security interests governed by the U.C.C. The project has had a life span beginning in early 2013.

Over his long and active career, Dunn has routinely been involved in a broad spectrum of real estate and commercial transactions for private and public entities. Dunn is a recognized authority in the area of legal opinions in business transactions and has served as chair of committees for the American College of Real Estate Lawyers and the ABA Section of Real Property, Trust and Estates Law on that subject. He is a frequent lecturer at national, regional, and statewide programs on various aspects of secured financing. In addition, Dunn's activity in the area of legal ethics and professional responsibility has led to speaking and consulting engagements and to his service as an expert witness.
