James R. Waggoner focuses his practice on a broad range of corporate matters including corporate structure and governance, mergers and acquisitions, corporate finance, and general commercial transactions.
James handles a full array of business matters for his clients, which range from small privately held companies to large publicly traded companies. James frequently counsels clients on matters relating to entity formation, limited liability company and buy-sell agreements, policies and procedures, labor and employment, and business succession planning.
James has significant transactional experience across a variety of industries representing buyers and sellers with respect to asset and stock transactions, as well as mergers, acquisitions, divestitures, consolidations, and other business combinations. He guides his clients through the entirety of the transaction process while assisting in evaluating and understanding the many legal issues presented.
A significant portion of James’ practice focuses on drafting and negotiating commercial contracts to meet the strategic needs and goals of his clients. James frequently counsels clients in the areas of technology, automotive, aerospace, and other emerging growth industries. This experience includes representing clients in a broad range of commercial transactions relating to the manufacture, sale, and distribution of goods as well as the protection and licensing of intellectual property.
