Elyssia Musolino is Senior Counsel in Clark Hill’s Corporate practice group. Elyssia brings to the California practice group nearly ten years of experience drafting, negotiating and reviewing and facilitating mergers and acquisitions and commercial contracts spanning the core and ancillary subject matters of many industries, including healthcare, beauty/fashion and entertainment. She routinely drafts and negotiates security agreements, asset purchase agreements, transfer agreements, licensing agreements, indemnity agreements, consulting agreements, non-circumvention agreements, nondisclosure agreements, partnership agreements, distribution agreements and stock/membership interest purchase agreements. She has also maintained and managed legal audits and compliance documentation for clients including corporate records, by-laws, meetings, notices, filing, share issuance, buy-sell agreements among principal shareholders, and required filings with governmental agencies. Elyssia is skilled in investigating and evaluating claims being made against corporate clients and maintaining proactive communication with her entrepreneurial clients to advise on new state and federal laws, regulations and statutes.

Elyssia graduated from Queens University with a B.A. in Political Studies and received the Queens University Merit Scholarship and Governor General’s Award for Volunteerism. She earned her J.D. at the University of the Pacific, McGeorge School of Law and a Certificate and Concentration in International Law and Intellectual Property. She was awarded multiple honors including a Dean Scholarship from 2008 – 2009, Top 16 in Appellate Advocacy, Dean’s Honor List, Niagara Moot Court Semi Finalist, Best Applicant Brief for Niagara Competition 2011, and the Roger J. Traynor Society.
