Elizabeth Cromwell

Senior Attorney

Elizabeth Cromwell represents and advises clients in a variety of corporate and securities law and finance matters. A significant portion of Elizabeth's practice is devoted to exploration and production and oilfield service company clients, where she advises in the acquisition and divestiture of oilfield service equipment and working, leasehold, royalty, and mineral interests in both producing and non-producing properties. Elizabeth also represents regional and state banks in oil and gas reserve based loans where she reviews title documentation and prepares related security documents.

With a background in oil and gas title, Elizabeth has represented land and mineral owners in the negotiations of oil and gas leases and surface use agreements. She has also represented land and mineral owners in title-related disputes, including in connection with deed construction concerning producing properties in the Permian Basin and the Eagle Ford Shale.

Elizabeth's practice also includes advising clients in private and public securities offerings and federal and state securities law reporting requirements.

MERGERS, ACQUISITIONS, & DIVESTITURES

  • Documented, and helped negotiate, the purchase of oil and gas leasehold interests in the Eagle Ford Shale
  • Documented, and helped negotiate, the sale of non-participating royalty interests in the Utica Shale
  • Documented, and helped negotiate, the purchase of approximately 1900 net mineral acres and non-operated working interests in 35 producing wells in the Bakken Shale
  • Drafted revenue sharing agreement in connection with the proposed acquisition and joint development of producing properties in the Permian Basin
  • Represented IT staffing company in its sale to a strategic buyer
  • Represented oil field services company in its sale to a private equity buyer
  • Represented a publicly-held oil field services company in its acquisition of a manufacturer of offshore products and subsea components
  • Represented national fuel supply company in its acquisition of fuel supply contracts for 60 gas stations and related real estate in the greater New Orleans area
  • Represented airplane equipment manufacturer in its sale to a strategic buyer
  • Represented a publicly-held optoelectronics company in its acquisition of an integrated circuit manufacturer
  • Represented a publicly-held optoelectronics company in its acquisition of a micro-optics manufacturing facility

SECURITIES LAW MATTERS

  • Represented a publicly-traded oil field services company in $150 million private placement of debt and its subsequent exchange for public debt
  • Advised NASDAQ Global Market exploration and production company regarding a registered direct offering in connection with the acquisition of producing oil and gas properties
  • Represented publicly-traded oil field services company in the negotiation of loan and security documents and preparation of a legal opinion in connection with its $125,000,000 revolving credit facility
  • Represented operator of a salt water disposal facility in a Regulation D private offering in connection with the acquisition of a salt water disposal lease and permit
  • Represented a compounding pharmacy in a Regulation D private offering in connection with the acquisition of another pharmacy
  • Represented a restaurant developer in a $6 million Regulation S private offering under the EB-5 Regional Center Program in connection with the development of three restaurants
  • Represented an EB-5 Regional Center in a $17 million Regulation S private offering under the EB-5 Regional Center Program in connection with the development of two multi-family residences
