Clark Hill Attorneys Joel D. Applebaum and Linda M. Watson to Present "Can You Really Anticipate Harm in Commercial Agreements?” on November 16, 2016

November 15, 2016

Detroit, MI – Clark Hill attorneys Joel D. Applebaum and Linda M. Watson will present “Can You Really Anticipate Harm in Commercial Agreements? Drafting Liability-Limiting Clauses” on November 16, 2016, the final webinar in Clark Hill’s In-House Council Webinar Series for 2016.

A contracting party, as a matter of law, is entitled to minimum adequate remedies to recover direct damages, regardless of what the contract provides. In other words, while reasonable agreements limiting or modifying remedies are to be given effect, a contract provision that completely deprives a party of any remedy is unenforceable.

This complimentary webinar is designed to provide in-house attorneys with real stories and lessons learned, as well as best practice tips in negotiating, drafting and enforcing liability limiting clauses in contracts.

The following topics are a sample of what will be covered:

  • Understanding the scope of contract damages
  • Negotiating, drafting, and enforcing remedy provisions
  • Traps surrounding consequential damages
  • The truth behind liquidated damages
  • The impact of indemnity and other related provisions
