Phoenix, AZ – Clark Hill attorney Charles R. Berry presented “Crowdfunding and Other Changes to Capital Formation After the Jobs Act” to the State Bar of Arizona Securities Regulation Section on April 6, 2016.

The "Jumpstart Our Business Startups" Act, passed in April 2012, made significant changes in the ways small business can raise capital, including "crowdfunding" on the internet. Final Federal Crowdfunding rules go into effect May 16, 2016. Berry discussed those changes, including both federal and Arizona intrastate crowdfunding, public solicitation of private offerings, and Regulation A+ small registered public offerings. He also explored how the framework of federal and state securities laws affects new and old funding methods, particularly federal preemption of "covered securities" and significant proposals and legislation involving the definition of "accredited investors", proposed changes to Rule 147 interpreting intrastate offerings, and Arizona securities offering exemptions
