PHOENIX, AZ – Clark Hill attorney Charles R. Berry will present on “What all Lawyers Should Know About Securities Law in the Crowdfunding Era: Identifying Securities and Raising Capital After the JOBS Act,” presented by Scottdale Bar Association on Tuesday, January 12, 2016 at the Gainey Ranch Golf Club in Scottsdale, Arizona.
Most lawyers often create and deal with securities, and may not know it. Notes, interests in LLCs and limited partnerships, investment contracts, and even tenant-in-common interests can all be securities, requiring compliance with state and federal statutes. Attendees will learn how to explore the framework of federal and state securities laws, how to identify securities, and the legal implications for business lawyers and litigators. The "Jumpstart Our Business Startups" Act, passed in April 2012, made significant changes in the ways small business can raise capital, including "crowdfunding" on the internet. Berry will discuss those changes, including state and federal crowdfunding, public solicitation of private offerings, and Regulation A registered offerings.
Berry represents corporations, limited liability companies, partnerships, and other business entities and individuals in a wide spectrum of transactions, focusing primarily on capital formation, business management and real estate. He has extensive experience in securities regulation, public offerings, business mergers, acquisitions and sales, private placements and compliance with the periodic reporting requirements of the Securities Exchange Act of 1934. In addition, he recently testified before the State of Arizona House of Representatives regarding Arizona’s proposed Crowdfunding bill.
