James M. Shafer serves as “Of Counsel” in Clark Hill’s Health Care Practice Group practicing in the firm’s Washington, D.C. office, and is adjunct to the Corporate Practice Group. Shafer is admitted to practice in Indiana and Michigan and is not currently admitted to practice in Washington, DC. Shafer concentrates in the areas of corporate governance, business operations and transactions primarily for health systems, hospitals, behavioral health care centers, home health agencies, other ancillary service providers and physicians. He has also counseled several clients concerning venture capital investment transactions.

Shafer has extensive experience in representing and advising health care businesses and business owners. His experience includes entity choice, merger and acquisition, contractual review, physician – hospital alignment transactions, joint ventures, review for compliance with antitrust laws, securities laws and health care regulations.

In both the health care entity transaction and venture capital investment areas, Shafer has extensive experience representing both buyers and sellers in all phases of the transaction. Such experience includes identifying and qualifying potential acquisition targets, negotiation of transaction terms, drafting and negotiating all main and ancillary transaction documents, providing and performing all phases of due diligence, and managing the closings. He has been involved in and chaired angel, mezzanine and later round venture capital investments, primarily in emerging health technology companies.
