We regularly represent publicly held companies in preparing their compliance filings with the Securities and Exchange Commission, such as Forms 10-K, 10-Q 8-K and Proxy Statements, and we also prepare filings and advise concerning compliance filings for directors, officers and other investors, such as Forms 3,  4 and 13D.  Our securities lawyers are well versed in the requirements of complying with the Sarbanes-Oxley Act of 2002, and we routinely advise boards of directors, audit committees and nominating committees concerning their responsibilities under that Act. 

Clark Hill represents a large number of issuers of tax exempt bonds, both in underwritten and privately placed transactions.  We also have represented qualified industrial issuers in connection with the sale of  tax exempt bonds.  We are listed in the “red book” as qualified bond counsel.  In addition, we are frequently asked to serve as underwriters’ counsel for tax exempt bond issues, and have most recently acted for Oppenheimer and A.G. Edwards in that capacity.
