We represent public companies as well, having taken companies public and advised public companies on compliance filings, Section 16 filings, private placements, so-called PIPES (private placement of public equity), takeover defenses and proxy contests.

We have assisted clients in the formation and registration of mutual funds, and we routinely advise on mutual fund compliance filings and Investment Company Act issues. We also render advice to clients concerning the Investment Advisor Act and related state statutes. Our extensive practice representing tax exempt organizations affords us a unique perspective to advise large foundation clients concerning hedge fund transactions, derivatives and private placement from the purchaser side.

Three members of Clark Hill's Corporate Practice Group practice exclusively in the field of creditor's rights, advising creditors, debtors and trustees in structuring bankruptcies or avoiding bankruptcy. We also counsel many of our manufacturing clients concerning collecting from financially troubled vendors, avoiding preference claims and how to respond to bankruptcies of customers and vendors.

Members of Clark Hill represent borrowers or lenders in over 20 public and private offerings of securities, year in and year out. In 2004-05 we represented an issuer in the largest underwritten initial public offering by a Michigan corporation in many years. We are particularly active in financing for educational institutions, including public schools and colleges. We are listed in the Red Book as qualified bond counsel, and have an active practice representing issuers, underwriters and purchasers of tax exempt bonds.
