Sean M. Carroll
Sean M. Carroll is a Member in Clark Hill’s Phoenix office, where he acts as outsourced corporate counsel for a variety of clients in the hospitality, real estate, insurance, and healthcare industries. Sean has handled a myriad of litigation matters, having assisted countless corporations, individuals, and public entities before administrative agencies, mediators, judges, and juries. Recent litigation victories include a full bench verdict at a breach of contract trial, successfully obtaining injunctive orders, and obtaining multiple judgments for breach of franchise agreements on behalf of a national franchisor client.
On the transactional side, Sean has crafted a variety of commercial transactions that have served as the foundation for numerous entrepreneurial businesses and upstart business owners, as well as providing critical documentation for well-established organizations. Recent transactional successes include the closing of a securities offering in excess of $1 million , preparation and execution of a note purchase agreement on a property valued over $1 million, business asset purchase agreement in Chicago’s famed River North entertainment district, and a license agreement involving a world-famous country musician, to name a few. Sean is also well-versed in the preparation and handling of other important documents such as promissory notes, independent contractor agreements, employment agreements, product distribution agreements, residential home construction agreements, manufacturers' representative agency agreements, marketing alliances, joint ventures, commercial leases, and licensing.
Sean is active in the Phoenix community as a Junior Member of Paradise Valley Country Club, the Fiesta Bowl Committee, and has played an active role in charitable organizations such as People Acting now Discovery Answers (PANDA) and the Humane Society. Sean is a regular legal panelist on a local radio station, where he is asked to provide commentary on current affairs. Prior to joining Clark Hill, Sean was at a AmLaw 200 firm.
Advised an Arizona commercial growing facility and associated dispensary on the dispensary certificate application process, various corporate transactions, regulatory compliance, litigation, and Department of Health Services matters.
Ryan Lorenz and Sean Carroll were successful in obtaining a reversal of a $12 million verdict against their client, Sherry Petta, in a published opinion of the Arizona Court of Appeals. Desert Palm Surgical Group PLC v. Petta, 236 Ariz. 568, 343 P.3d 438 (App. 2015). On July 30, 2015, the Arizona Supreme Court denied the Carlottis’ petition for review, thereby ending the appeal in Ms. Petta’s favor.
