James R. Waggoner

James R. Waggoner is a Member in the firm’s Birmingham office, where he practices in the Corporate Practice Group. James’ practice focuses on a broad range of corporate matters including corporate structure and governance, mergers and acquisitions and general commercial transactions.

Business Counseling – James handles a full array of business matters for his clients, which range from small privately held companies to large publicly traded companies. James frequently counsels clients on matters relating to entity formation, limited liability company and buy-sell agreements, policies and procedures, labor and employment and contract forms.

Corporate Transactions - James has significant transactional experience representing buyers and sellers with respect to asset and stock transactions, as well as mergers, acquisitions, divestitures, consolidations and other business combinations.

Contracts - A significant portion of James’ practice focuses on drafting and negotiating contracts to meet client needs and goals.  James represents clients in a broad range of commercial transactions, including the development, manufacture, sale and distribution of goods, and the protection and licensing of intellectual property.

James earned his J.D. cum laude from Michigan State University College of Law, where he received numerous awards for academic merit, including the Jurisprudence Achievement Award for Contracts II.  While in law school, James was an Executive Member of the Michigan State University College of Law Moot Court and Advocacy Board and served as a Teacher’s Assistant for both Contracts I and II.  James was also an intern with the Charitable Trust Division at the office of the Attorney General of Michigan.
