D. Kerry Crenshaw is Chairman of Clark Hill’s Corporate Practice Group, where he works for many firm clients in matters involving securities, finance, mergers, acquisitions and international transactions.
Kerry has served as general counsel to the boards of directors and management of several of Clark Hill’s key clients in a number of diverse industries, including manufacturing, insurance, pharmaceuticals and information technology. Prior to joining Clark Hill in 1984, he was Associate General Counsel of Republic Steel Corporation, where he was actively involved in securities and financial transactions, acquisitions and divestitures, joint ventures, and international operations. Kerry believes that his fifteen years of “hands on” experience in a business organization has given him a practical perspective in solving problems faced by business executives.
Kerry has represented both buyers and sellers in over a hundred mergers, acquisitions and divestitures, and more recently has been actively involved in venture capital transactions. His expertise in crafting international licensing, product development and joint venture arrangements has been recognized in Europe, South America and the Pacific Rim, as well as in the U.S. He has represented numerous financial institutions and borrowers in financing large capital projects through a variety of techniques, including off-balance sheet financing, leasing, tax exempt bonds, tax benefit transfers and production payments. He has advised management, sellers and lenders in leveraged buyouts and workouts.
Kerry has handled initial public offerings of securities, private placements and over 40 public offerings of debt and equity securities. He is regularly involved with matters before the U.S. Securities and Exchange Commission, several U.S. and foreign stock exchanges and state securities commissions. He is an author of the Michigan Control Share Acquisition Act, the Dow-Jones Irwin Handbook of Joint Venturing, the Transnational Publishers International Joint Ventures, Mergers and Acquisitions, and was the compiler of the Michigan Business Corporation Act Handbook published by Reardon Parshall Company.
